02 Private placements under Rule 506(b)

Interests in investments sponsored by Prevail Alternative Assets are offered only in private placements exempt from registration under Rule 506(b) of Regulation D under the Securities Act of 1933. Prevail does not offer securities through general solicitation or general advertising: offerings are made only to investors with whom Prevail has a pre-existing, substantive relationship, and nothing on this website is an offer of, or a solicitation for, any particular investment. Any offer of securities is made solely through definitive offering documents, which may include a private placement memorandum, an operating or limited partnership agreement, and subscription documents. Those documents contain the complete terms of an investment, including its objectives, fees, expenses, conflicts of interest, and risk factors. If anything on this website conflicts with the offering documents, the offering documents control.

Securities offered in private placements have not been registered under the Securities Act of 1933 or the securities laws of any state, and have not been approved or disapproved by the Securities and Exchange Commission or any state securities regulator, none of which has passed on the merits of any offering or the accuracy or adequacy of any offering document.

03 Investor eligibility, the intro call, and the deal room

Prevail’s offerings are generally limited to accredited investors, as defined in Rule 501(a) of Regulation D, and each investor’s eligibility is confirmed through the offering process before any investment. The eligibility questions on this website are self-reported, preliminary, and for general information only. They do not confirm your status, do not constitute an offer, and do not create any right or obligation to invest.

Answering the questions, requesting an introductory call, or speaking with us does not entitle you to see, or to invest in, any offering. A call is an opportunity for us to get to know you and for you to learn about Prevail; it is not investment advice. Access to the deal room is by invitation and at Prevail’s discretion, and materials in it are confidential, are provided only to eligible investors, and are subject to the terms on which they are provided. The investor portal is for existing investors and carries their statements, tax documents, and distributions.

04 Risk of loss and illiquidity

Investing in private real estate is speculative and involves a high degree of risk, including the risk of losing some or all of the amount invested. These interests are illiquid: there is no public market for them, none is expected to develop, and transfer is substantially restricted. You should be prepared to hold an investment for its full term and to bear the economic risk of the investment indefinitely. Only investors who can afford to lose their entire investment should consider a private placement.

05 Real estate risk factors

The following are among the risks that can affect private real estate investments. The list is not complete; the offering documents for any investment describe its specific risks, and you should read them in full.

  • Leverage and financing. Debt magnifies losses as well as gains. Interest-rate increases, covenant defaults, and difficulty refinancing at maturity can reduce or eliminate an investor’s return.
  • Market and economic conditions. Rents, occupancy, property values, and capital-market conditions change, and can fall, with local and national economic conditions.
  • Property-type risks. Multifamily, medical, industrial, hospitality and extended-stay, and senior-living properties each carry risks of their own, including tenant and operator performance, demand cycles, brand and franchise requirements, staffing, and regulation.
  • Development, construction, and renovation. Projects can cost more and take longer than planned, and may not lease up or stabilize as expected. Timelines, milestones, and completion dates are estimates.
  • Reliance on third parties. Results depend on operators, property managers, development partners, lenders, and others whom investors do not control and whose performance can fall short.
  • Lack of control; concentration. Investors are generally passive, have no right to manage the property or the sponsor, and may have a concentrated exposure to a single asset or market.
  • Fees, expenses, and conflicts. Fees and expenses reduce returns, and the sponsor and its affiliates may face conflicts of interest, as described in the offering documents.
  • Uninsured losses, environmental, legal, and tax change. Casualty, environmental conditions, litigation, and changes in law or tax treatment can cause losses that are not insured or recoverable.
  • Distributions. Distributions are not guaranteed, may be reduced or suspended, and may in some circumstances be paid from sources other than property operating cash flow.

They are not investment returns and are not a rate of return for any investor or investment. Transaction value reflects the size of the transactions and may include debt and third-party capital; it is not the amount that Prevail or its investors invested. The selectivity figure describes Prevail’s process and is not a measure of the quality or expected performance of any investment. Distributions are an aggregate figure and do not reflect any individual investor’s fees, expenses, or taxes; they are not guaranteed to continue.
